GENERAL CONTRACTING CONDITIONS

THESE CONDITIONS APPLY TO ORDERS MADE BY USERS (the “USER”, the “BUYER” the “CUSTOMER” or “YOU” interchangeably) at at http://www.badfriends.store (" BADFRIENDS ")

IF YOU DO NOT ACCEPT THE TERMS HEREIN, DO NOT PURCHASE BADFRIENDS’ PRODUCTS OR SERVICES.

 

1.1. Contracting parties

These General Contracting Conditions govern expressly the relations established between BADFRIENDS and any User that acquires any of the products offered by BADFRIENDS on its websites. The User declares: (i) to be a person with the capacity to contract (ii) to have read and understood this Agreement, and (iii) to accept it.

 

1.2. International Users

BADFRIENDS does not make any statements or provide any assurances that the products featured on the Website will be available to customers in locations outside of the European Union. The User will refrain from using the Website or exporting the Contents in violation of Spanish or European legislation. If you access this Site from outside the European Union, the User will be solely responsible for compliance with all applicable local laws. In such cases, you may not be able to legally buy the product, or you may be required to undergo customs procedures and pay taxes derived therefrom, of which BADFRIENDS will not be in any way responsible, nor will BADFRIENDS be deemed in any way to have been designated as an agent.

Specially, the User acknowledges that the final prices may vary due to exchange rate differences that may arise between the time the reference price is determined, and the time of purchase.

 

1.3. Placing an order

To validly place an order, the User must register and create a User Account, providing a valid billing address and payment information. Additionally, you must be of legal age in your jurisdiction. Once you have formalized the order and accepted, if appropriate, any particular conditions thereof, BADFRIENDS will confirm the details of the purchase to the User, by email or similar digital means. Such information will appear in the corresponding section in the User’s personal account area. Should BADFRIENDS’ confirmation be erroneous or not in accordance with the User’s expectations, the User must proceed to modify the order, or to cancel it.

By clicking on "Buy" you are placing a binding order of the items stores in your shopping cart. At the end of the order, BADFRIENDS will send confirmation by email. The contract of sale is concluded at the moment in which the order confirmation is received by the user.

1.4. Prices and taxes

The sale prices set on the website are expressed in Euros (€) and include VAT, unless otherwise mentioned. These prices constitute an invitation to the User to make purchases to BADFRIENDS and should not be interpreted as being directly binding on BADFRIENDS, as they may contain errors. If there are pricing errors on any page of the Website, the User will be informed of such circumstance and the order will be canceled.

Purchases to be delivered within the territory of any of the member states of the European Union will be subject to VAT or equivalent tax.

Purchases to be delivered in territories outside of the European Union or the Spanish territories of the Canary Islands, Ceuta or Melilla, will be exempt from VAT. Notwithstanding the foregoing, customs charges and/or other taxes applicable to such territories may apply.

Any additional costs when passing through customs will be charged to the customer who, for this purpose, will be considered an importer. Badfriends is not responsible for paying any taxes or fees, nor can they reveal the amount. In the event that you refuse this payment, Badfriends may cancel the order and the shipping costs would be charged to the customer.

BADFRIENDS expressly reserves the right to modify, at any time and without prior notice, both the prices and commercial offers presented on the Website regarding its products and promotions, as well as any commercial and service conditions. The user must check the conditions of an offer prior to requesting a product or service.

BADFRIENDS could, at times, show provisional information about some products. In the event that the information provided does not correspond to the final characteristics of the product, the User will have the right to rescind the purchase free of charge.

Any import duties, levies and/or customs expenses will be borne by the buyer.

Taxes will always be according to current legislation.

1.5. Payment terms

You can pay for your purchases with:

  • * Debit or credit card, or PayPal.

The charge is made online, i.e., in real time, via the payment platform of the bank entity which processes payment, once payment data is verified.

Credit card information is not stored in our databases. It is only used by the bank’s POS system, through its secure platform.

BADFRIENDS reserves the right to verify the data provided by the customer and to take any necessary steps (including but not limited to canceling an order) in order to ensure that the goods are delivered in accordance with the purchase order’s details.

  • * Those other payment platforms or methods featured on our website from time to time placed at your disposal.
  • * In specific cases and for specific clients or orders, it may be possible to make payment by bank transfer if so indicated. This form of payment delays the order as payment has to be confirmed by our bank. You have 24 hours to verify payment by uploading proof of payment through your client area. Once the order has been place and checked by our staff, you will receive an e-mail explaining the procedure.

 

In order for BADFRIENDS to carry out the necessary steps, the User must notify in the shortest possible time of any undue or fraudulent charge. Failure to notify within 24 hours will exempt BADFRIENDS from any responsibility regarding the reimbursement of purchases made fraudulently or improperly.

1.6. Discounts and Gift Cards

  1. A. Discounts

BADFRIENDS may feature promotional offers in the form of discounts (percentage or of specific amounts) with a specific expiration and/or validity.

Discounts can be applied only once, in relation to an order, and only within the validity period. Some products may be excluded from a specific promotional campaign. It is possible that discounts can only be applied once a minimum order amount has been reached.

Discounts cannot be exchanged for cash or accrue interest, nor can they be applied retroactively. In the event that a discounted product is returned, the discount will not be restored, and will be considered exhausted to all intents and purposes. Unless expressly stated otherwise, discounts cannot be accumulated for a single order.

  1. B. Gift Cards

Any gift cards made available by BADFRIENDS to users will be considered as cash, for the amount equivalent to the cash value assigned to it, and may only be used to purchase products from BADFRIENDS. Gift cards cannot be used to buy additional gift cards.

 

1.7. Products

  1. A. Shipping

BADFRIENDS will offer the User as many shipping options as possible as allowed by the agreements reached between BADFRIENDS and its logistics services providers.

Currently, the following shipping options are available:

(i) Courier (Spain only) Delivery time is up to 72 hours.

Notwithstanding the foregoing, BADFRIENDS will choose the most appropriate shipping companies to carry out the shipment according to type and geographical region.

It is necessary for someone to be at that address during working hours, and a contact telephone number must be provided beforehand (with a 4 to 5 hour margin to coordinate delivery).

Express shipping may be available for some orders.

Shipping price will be shown prior to completing an order.

(ii) International shipping 

Delivery time may range from 5 to 15 business days, depending on the target country.

BADFRIENDS will choose the most appropriate shipping companies to carry out the shipment according to type and geographical region.

Parcels will arrive directly to the shipping address provided for a specific order.

It is necessary for someone to be at that address during working hours, and a contact telephone number must be provided beforehand (with a 4 to 5 hour margin to coordinate delivery).

Express shipping may be available for some orders.

Shipping price will be shown prior to completing an order.

Shipping prices may be subject to change. In any such event, BADFRIENDS will so notify the customer by email. Thereupon, the customer may choose to cancel the order free of charge.

The User understands and accepts that the price of the shipment, the delivery terms, the quality of the service and the delivery point are subject to the different modes of transport among those possible for different shipping areas and the availability of the chosen product.

BADFRIENDS does not ship on holidays, Saturdays, or Sundays.

Additionally, shipping time may be altered by extraordinary incidents suffered by the logistics services companies, due to difficulties arising during the delivery of the goods and/or due to force majeure; in any case, no delay in delivery with respect to the periods indicated will entitle the user to demand compensation.

  1. B. Cancellation

The User may cancel an order by sending an email to hola@badfriends.store

BADFRIENDS will not accept cancellations:

* Once the manufacturing process of the products has begun, in those cases in which said products were made according to the consumer's specifications and/or personalized

* After the goods have been made available to the logistics services company.

       1. C. Warranties

Guarantees will be handled in accordance with Spain’s Royal Legislative Decree 1/2007, of November 16, which approves the revised text of the General Law for the Defense of Consumers and Users and other complementary laws.

Should the use of a guarantee be justified, BADFRIENDS will either repair, replace the item, rebate, or refund, in the established legal terms.

 

  1. D. Returns and withdrawals

 

* Returning non-customized products:

 

Pursuant to EU Law, Users will have a period of 14 working days from the receipt of the order to return the it (“right of withdrawal”).

 

The User will notify BADFRIENDS within said 14-period period, by any means admitted by law, their desire to exercise the right of withdrawal.

 

The client may return any non-personalized item purchased on the Website, provided that the products have not been opened or used and retain their original seal and packaging.

 

The return costs will be borne by the customer.

 

In any such cases, BADFRIENDS will refund the User the money through a credit note.

 

BADFRIENDS will issue no refunds nor re-send any goods until the following have been verified: receipt; identity of sender, which must be clearly indicated; and the state of the packaging and accessories of the returned item.

 

* Returning customized products:

The User accepts, without reservations of any kind, that due to the nature of the majority of products offered by BADFRIENDS—products manufactured on demand and/or customized—and in accordance with article 103.c et al. of the Spanish Royal Legislative Decree 1/2007, of November 16, which approves the revised text of the General Law for the Defense of Consumers and Users and other complementary laws, once the process of preparation of the product has begun, the right to withdrawal is not applicable.

The foregoing notwithstanding, the user may return any products in the following circumstances:

1) Defective product: BADFRIENDS Will issue the same item or reference once the defective product has been received. In this case, only the first shipment (from BADFRIENDS to the User) will be invoiced, as BADFRIENDS will bear the costs of replacement.

Should the User wish to make a change for another article or reference, the User will assume the costs of return and new shipment.

If a product reaches its destitation with obvios signs of tear, deterioration or any other transportation-caused non-conformity, you must notify BADFRIENDS within 14 calendar days after receiving the shipment via e-mail to hola@badfriends.store

2) Wrong Product: BADFRIENDS Will bear the costs of collecting and replacing the items sent erroneously.

  1. E. Customer Service

We inform you that the European Commission has an online platform aimed at resolving disputes between merchants and consumers. You can submit claims and/or get informed at the following link: https://ec.europa.eu/consumers/odr/.

 

1.8. Applicable Legislation

The law applicable in the event of dispute or conflict of interpretation of the terms that make up these conditions of the Spanish law shall be, unless the rules of protection of consumers and users establish the applicability of a different legislation.

For the resolution of any conflict that may arise, BADFRIENDS and the User agree to submit to the judges and home courts of BADFRIENDS or the User, at the User’s choice, provided that it is located in Spanish territory, or any other jurisdiction whose applicability is imposed by the rules of protection of consumers and users.
